FullStak — Terms of Service
Welcome to FullStak
Welcome to FullStak. These Terms of Service (“Terms”) govern your access to and use of FullStak websites, applications, cloud services, desktop environments, artificial intelligence capabilities, development tools, communications products, and related services (collectively, the “Services”).
These Terms constitute a legally binding agreement between you and the legal entity identified above (“FullStak,” “we,” “us,” or “our”).
Please read these Terms carefully. They describe your rights, your responsibilities, and important limitations on our liability.
IMPORTANT NOTICE: Certain provisions address automatic subscription renewals, limitations of liability, dispute resolution, and restrictions on use. Any arbitration agreement or class-action waiver must be separately reviewed and approved before these Terms become effective.
By creating an account, affirmatively accepting these Terms, or using Services under an applicable agreement, you agree to the Terms. Where applicable law requires affirmative consent, continued use alone will not substitute for that consent.
If you are accepting these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization.
1. Scope of Services
1.1 Covered Services
These Terms apply to FullStak products and services that reference them, including, where available:
- FullStak Personal, Business, and Professional subscriptions.
- FullStak Workspace and FullStak Desktop.
- FullStak Files, Cloud, and document applications.
- FullStak Code and AI-powered development environments.
- FullStak AI assistants, agents, and automation tools.
- FullStak Creative, audio, video, and productivity applications.
- FullStak Connect and supported third-party integrations.
- FullStak Voice, PhoneFilter, messaging, and communications services.
- FullStak Agent and supported device connectivity.
- Related APIs, mobile applications, and hosted infrastructure.
The availability of a product in these Terms does not mean it is currently released, available in every location, or included with every subscription.
1.2 Additional Terms
Certain products may have additional terms governing telecommunications, AI services, developer environments, enterprise services, data processing, subscriptions, or other specialized functionality.
When additional terms apply, they supplement these Terms. If they conflict, the product-specific terms control only for the relevant product and subject matter, unless otherwise stated.
1.3 Changes to Services
We may introduce, improve, modify, suspend, or discontinue features.
When a material change adversely affects a paid service, we will provide reasonable advance notice where practicable and any remedy required by applicable law or a separate written agreement.
2. Eligibility and Accounts
2.1 Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to independently create a FullStak account.
Use by minors, if permitted for a particular service, requires an authorized parent, guardian, or organization and compliance with applicable age-related requirements.
You must not use the Services if applicable law prohibits you from doing so.
2.2 Account Information
You agree to provide accurate account information and maintain current contact details.
You are responsible for protecting your credentials and for activity performed through your account, except to the extent caused by FullStak's breach of its obligations or other circumstances for which applicable law assigns responsibility to FullStak.
You must promptly notify us of suspected unauthorized account access.
2.3 Account Security
FullStak may require email verification, multifactor authentication, device verification, or other security measures.
You must not share credentials in ways that defeat account security or licensing restrictions.
2.4 Account Recovery
Account recovery may require verification of identity or account ownership.
FullStak may delay or deny recovery requests when necessary to prevent unauthorized access.
3. Personal Workspaces and Organizations
3.1 Personal Workspaces
A Personal account may include a private workspace for documents, files, settings, applications, and other personal content.
Personal workspace data is private to the account holder except where the user authorizes sharing, applicable law requires disclosure, or these Terms and our Privacy Policy otherwise permit processing.
3.2 Business and Professional Organizations
Business and Professional services may allow organizations to create shared workspaces, assign roles, manage users, and administer organization resources.
Authorized organization administrators may manage organization-owned accounts, content, and services within the permissions provided by FullStak.
3.3 Separation of Personal and Business Data
Joining or creating an organization does not automatically transfer ownership of a user's Personal workspace or grant organization administrators access to private Personal content.
Any transfer of Personal content into an organization-controlled workspace must occur through an explicitly authorized process.
Organization administrators may have access to content stored in organization-controlled workspaces, subject to applicable law and contractual restrictions.
3.4 Organization Responsibility
Organizations are responsible for assigning appropriate administrators, managing authorized users, and establishing internal policies for their use of the Services.
4. Acceptable Use
You agree to use FullStak lawfully and responsibly.
You must not:
- Use the Services to engage in fraud, unlawful activity, harassment, threats, or exploitation.
- Upload, distribute, or execute malicious software without authorization.
- Attempt unauthorized access to systems, accounts, networks, or data.
- Circumvent authentication, security boundaries, usage limits, or access controls.
- Use the Services to infringe intellectual property or privacy rights.
- Conduct unlawful surveillance or intercept communications without required authorization.
- Send unlawful spam, robocalls, deceptive messages, or prohibited telemarketing communications.
- Use FullStak infrastructure for unauthorized cryptocurrency mining, denial-of-service attacks, or other abusive resource consumption.
- Misrepresent identity or impersonate another person or organization deceptively.
- Interfere with the availability, security, or operation of the Services.
Authorized security research and testing may be permitted under a separately published security policy or written authorization.
FullStak may investigate suspected violations and take proportionate action consistent with these Terms and applicable law.
5. Your Content and Intellectual Property
5.1 Ownership of Your Content
You retain ownership of documents, files, source code, photographs, recordings, designs, databases, and other materials that you submit, create, upload, or store through FullStak (“Customer Content”).
FullStak does not acquire ownership of Customer Content merely because it is processed or stored using the Services.
5.2 License to Operate the Services
You grant FullStak a nonexclusive, worldwide, royalty-free license to host, reproduce, transmit, process, display, modify in technically necessary ways, and otherwise use Customer Content solely as reasonably necessary to provide, secure, maintain, support, and operate the Services, comply with law, and perform other processing disclosed in our Privacy Policy or authorized by you.
This license does not authorize FullStak to sell your private content as a standalone product.
5.3 Your Responsibilities
You represent that you possess the rights and permissions necessary to submit and process Customer Content.
You are responsible for determining whether your use of content complies with copyright, confidentiality, privacy, licensing, and other applicable requirements.
5.4 Sharing
When you share content with another user, organization, application, or third-party service, the recipient may obtain access according to the permissions you grant.
You are responsible for reviewing sharing permissions, especially public links and organization-wide access.
5.5 Export and Deletion
FullStak may provide tools to export or delete Customer Content.
Deletion may be subject to backup retention, legal obligations, security requirements, dispute preservation, and technical recovery periods disclosed in applicable policies.
We do not guarantee indefinite retention of content after account closure or subscription expiration.
6. Artificial Intelligence Services
6.1 AI Features
FullStak may provide AI chat, coding agents, automation, content generation, document analysis, voice processing, and other AI capabilities.
These features may use FullStak-operated models or third-party AI providers.
6.2 AI Output
Subject to applicable law and third-party rights, as between you and FullStak, you retain rights in your inputs and own any rights FullStak may have in outputs generated specifically for you. FullStak assigns those output rights to you to the extent legally transferable.
AI-generated output may not qualify for intellectual property protection and may resemble output generated for other users.
6.3 Accuracy and Human Review
AI systems may generate incorrect, incomplete, misleading, insecure, or inappropriate results.
You are responsible for reviewing AI-generated material before relying on it, distributing it, executing generated code, or using it in consequential decisions.
AI outputs are not a substitute for qualified legal, medical, financial, engineering, or other professional advice.
6.4 Autonomous Agents
FullStak may allow AI agents to perform actions on your behalf, including creating or modifying files, executing code, using connected applications, operating development environments, and carrying out authorized workflows.
Agents must operate within applicable permissions, approval requirements, and security controls.
You are responsible for the instructions and authority you knowingly grant, but this does not relieve FullStak of its own security, contractual, or legal obligations.
Certain actions may require additional confirmation or may be unavailable regardless of user instructions.
6.5 Third-Party AI Providers
When you connect a third-party AI provider, its separate terms, usage limits, billing arrangements, and data-handling practices may apply.
FullStak is not responsible for independent third-party services beyond obligations imposed by law or our applicable agreements.
6.6 Model Training and Data Use
FullStak's handling of Customer Content for AI model training, improvement, and evaluation will be governed by the Privacy Policy, applicable product disclosures, and any organization-specific agreement.
We will not represent that Customer Content is excluded from training unless the actual technical and contractual processing arrangements support that commitment.
7. Developer Tools and Execution Environments
7.1 Development Services
FullStak Code may provide source editing, terminals, repositories, build systems, runtime environments, AI coding agents, debugging, previews, and deployment-related tools.
7.2 Code Execution
You are responsible for code and workloads you authorize to execute.
FullStak may restrict workloads that threaten security, service stability, other tenants, or infrastructure integrity.
7.3 Isolated Environments
FullStak may use containers, virtual machines, sandboxes, access controls, and other isolation technologies.
No isolation mechanism is guaranteed to eliminate every security risk.
7.4 External Repositories and Credentials
You must have appropriate rights to connect repositories, credentials, cloud accounts, and development resources.
You are responsible for selecting permissions and reviewing actions taken using connected services.
7.5 Generated Code
Generated code may contain defects, vulnerabilities, licensing concerns, or other errors.
You should review and test code before deploying it into production or distributing it.
7.6 Deployment Authority
Creating or modifying source code does not necessarily authorize deployment.
Deployment, publication, production changes, and other sensitive operations may require separate approval.
8. Cloud Storage, Files, and Backups
FullStak may provide cloud storage, synchronization, sharing, versioning, recovery, and backup-related functionality.
Storage allowances, file-size limits, retention periods, transfer restrictions, and recovery capabilities may vary by subscription.
You remain responsible for maintaining independent backups of critical information.
Unless expressly covered by a separate service-level or backup agreement, FullStak does not guarantee that every file can be recovered after deletion, corruption, service interruption, or account closure.
FullStak will implement reasonable security measures appropriate to the Services and applicable legal obligations.
9. Communications Services
9.1 Voice, Messaging, and PhoneFilter
FullStak may provide calling, voicemail, spam screening, AI call handling, SMS, messaging, and related communications functionality.
Availability may depend on telecommunications carriers, device capabilities, network conditions, and third-party providers.
9.2 Emergency Services
Unless a specific service expressly states otherwise and provides the legally required disclosures and capabilities, FullStak communications features must not be relied upon as a replacement for emergency calling services.
Product-specific emergency calling limitations will be disclosed where applicable.
9.3 Call Recording and AI Processing
You are responsible for obtaining legally required notices and consents when recording, transcribing, analyzing, or automatically processing communications.
Consent requirements vary by jurisdiction and circumstances.
FullStak may provide tools or notices to support compliance, but the existence of those tools does not guarantee that a particular use is lawful.
9.4 SMS and Messaging Consent
Providing a phone number does not automatically constitute consent to receive marketing messages.
Where required, FullStak will obtain separate consent for marketing communications.
Operational or transactional messages may be sent as permitted by law and applicable consent.
Users may opt out of eligible SMS programs using the published instructions, including STOP where supported.
Message and data rates may apply.
9.5 Telephone Numbers and Portability
Number assignment, availability, transfer, portability, and cancellation may be subject to carrier requirements, regulation, and separate service terms.
No ownership interest in a telephone number is granted beyond rights recognized by applicable law.
9.6 Communications Compliance
You must comply with applicable telecommunications, privacy, consumer protection, anti-spam, recording, and messaging laws.
Additional Voice and PhoneFilter terms may govern particular services.
10. Subscriptions, Fees, and Billing
10.1 Free Services
FullStak may offer free subscriptions with limited storage, features, usage, support, or resources.
Free services may change over time, subject to applicable notice requirements.
A Free account does not require a payment card unless a separate paid feature is selected.
10.2 Paid Subscriptions
Paid subscriptions may be billed monthly, annually, per user, per resource, or according to another disclosed billing model.
The applicable price, billing frequency, included services, and renewal terms will be presented before purchase.
10.3 Automatic Renewal
Unless otherwise disclosed, recurring subscriptions automatically renew for the stated billing period until cancelled.
By authorizing a recurring purchase, you authorize the disclosed recurring charges, including applicable taxes and any separately authorized usage charges.
10.4 Usage-Based Charges
Some services, including AI inference, computing, communications, storage, or other metered resources, may incur additional charges.
Applicable rates, included allowances, and billing methods will be disclosed before billable usage is enabled.
FullStak will not treat an undisclosed charge as authorized merely because a customer uses a feature.
10.5 Payment Processing
Payments may be processed by third-party payment providers.
FullStak generally does not need to receive or store complete payment-card credentials when using an appropriately integrated payment processor.
10.6 Price Changes
We may change subscription prices with advance notice required by law and applicable agreement.
Price changes to existing recurring subscriptions will take effect only in accordance with the applicable disclosures, notices, and authorization requirements.
10.7 Cancellation
You may cancel a recurring subscription through the available account or billing controls, or another method required by law.
Cancellation ordinarily prevents future renewals; the precise effective date, continued access, and refund rights depend on the subscription terms and applicable law.
10.8 Refunds
Fees are nonrefundable except as disclosed at purchase, required by law, or expressly agreed in writing.
This provision does not limit nonwaivable consumer rights.
10.9 Payment Failure
If a payment fails, FullStak may provide a grace period, request an updated payment method, restrict paid features, or suspend paid access, subject to applicable law and the relevant agreement.
11. Third-Party Services and Integrations
FullStak may connect with third-party applications, cloud providers, repositories, payment processors, AI providers, and other services.
Third-party services may be subject to separate terms and privacy policies.
When you authorize an integration, you authorize FullStak to exchange the information and perform the actions necessary for that integration within the permissions granted.
You may be able to revoke integrations through account settings or the third-party provider.
FullStak is not responsible for third-party products that it does not control, except where applicable law or an express agreement provides otherwise.
12. Software Licenses and Updates
FullStak grants you a limited, nonexclusive, nontransferable, revocable license to use its proprietary applications for their intended purposes while you remain authorized to access the Services.
This license does not transfer ownership of FullStak software, trademarks, designs, or underlying technology.
Open-source components remain subject to their respective licenses.
FullStak may provide security updates, feature updates, compatibility changes, and new versions.
Certain updates may be required to maintain security or service compatibility.
13. Security, Monitoring, and Abuse Prevention
FullStak may monitor service health, security events, resource consumption, authentication activity, and suspected abuse as reasonably necessary to operate and protect the Services.
Monitoring will be subject to applicable law, the Privacy Policy, and any governing customer agreements.
We may investigate security incidents and restrict activity that poses a credible threat to users, infrastructure, or third parties.
We will not characterize all customer content as subject to unrestricted human review.
14. Suspension and Termination
14.1 Suspension by FullStak
FullStak may suspend, restrict, or limit access to any Service when reasonably necessary to:
(a) Protect the security, integrity, or availability of the Services;
(b) Prevent fraud, unauthorized access, or unlawful activity;
(c) Address violations of these Terms or applicable policies;
(d) Comply with applicable law, legal process, or governmental requirements;
(e) Respond to nonpayment or a material billing dispute, subject to applicable notice requirements; or
(f) Prevent material harm to FullStak, its customers, third parties, or the public.
Where reasonably practicable and legally permitted, FullStak will provide notice and an opportunity to resolve the issue before suspension. Immediate suspension may occur when necessary to address urgent security, legal, or operational risks.
14.2 Termination by Users
Users may stop using the Services at any time and may request account closure through available account controls or by contacting FullStak.
Cancellation of a paid subscription does not necessarily result in immediate account deletion. Unless otherwise disclosed, paid access continues through the end of the applicable paid billing period.
14.3 Termination by FullStak
FullStak may terminate an account for a material violation of these Terms, persistent nonpayment, fraud, unlawful conduct, or other grounds permitted by applicable law.
Where appropriate, FullStak will provide advance notice and a reasonable opportunity to remedy the violation.
14.4 Effect of Termination
Upon termination:
- Access to affected Services may cease.
- Subscription entitlements may expire.
- Authorized integrations and active sessions may be revoked.
- Customer data may become unavailable after applicable retention or export periods.
- Outstanding payment obligations remain due to the extent legally enforceable.
Termination does not transfer ownership of Customer Content to FullStak.
14.5 Data Retrieval and Deletion
FullStak will provide available data export and deletion mechanisms as described in the applicable Service documentation and Privacy Policy.
Data may be retained when necessary for legal compliance, fraud prevention, dispute resolution, security investigations, backup recovery, or other lawful purposes.
Any specific post-termination export window must be disclosed in the applicable Service terms or documentation.
15. Service Availability, Maintenance, and Changes
15.1 Service Availability
FullStak endeavors to provide reliable and secure Services but does not guarantee uninterrupted or error-free operation.
Services may be affected by maintenance, software defects, infrastructure failures, internet connectivity, telecommunications carriers, third-party providers, security incidents, or events outside FullStak's reasonable control.
15.2 Maintenance
FullStak may perform scheduled or emergency maintenance, including updates to infrastructure, software, security systems, and integrations.
Where reasonably practicable, FullStak will provide advance notice of maintenance expected to materially disrupt paid Services.
15.3 Service Modifications
FullStak may add, improve, modify, replace, or discontinue features.
For material changes that substantially reduce paid functionality, FullStak will provide notice where reasonably practicable and any remedies required by applicable law or an applicable service agreement.
15.4 Beta and Experimental Features
Certain Services may be identified as beta, preview, experimental, or early access.
Such features may have reduced availability, incomplete functionality, changing interfaces, or additional limitations.
FullStak will identify applicable restrictions and will not represent experimental functionality as generally available production functionality.
15.5 Service-Level Agreements
Any uptime commitment, service credit, response-time guarantee, or other service-level obligation applies only when expressly included in a separate written agreement or published service-level agreement applicable to the customer's subscription.
16. Warranties and Disclaimers
16.1 Limited Service Commitment
FullStak will use commercially reasonable efforts to provide the Services with reasonable care and skill, subject to the applicable subscription, documentation, and service commitments.
16.2 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR EXPRESS WARRANTIES PROVIDED IN A SEPARATE WRITTEN AGREEMENT, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
FULLSTAK DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.
16.3 AI-Specific Disclaimer
AI-generated output may be inaccurate, incomplete, outdated, or inappropriate for a particular purpose.
FullStak does not guarantee that AI-generated code, documents, analyses, recommendations, or automated actions will be correct, secure, legally compliant, or suitable for production use.
Users should independently evaluate AI output before relying on it for material decisions or deploying it into sensitive environments.
16.4 No Professional Advice
Unless expressly provided through a separately authorized professional service, FullStak's AI and software features do not constitute legal, medical, accounting, financial, or other regulated professional advice.
16.5 Consumer Rights
Nothing in these Terms excludes warranties, guarantees, remedies, or other rights that cannot lawfully be excluded under applicable consumer protection laws.
17. Limitation of Liability
17.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER FULLSTAK NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR SERVICE PROVIDERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION, EXCEPT WHERE SUCH EXCLUSION IS PROHIBITED BY LAW.
17.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FULLSTAK'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
(a) The amount paid by the customer to FullStak for the affected Services during the twelve months preceding the event giving rise to the claim; or
(b) One hundred U.S. dollars ($100).
This limitation applies collectively to claims arising from the same or related events and is subject to the exceptions below.
17.3 Exceptions
The limitations in this Section do not apply to liability that cannot lawfully be limited or excluded, including liability arising from fraud, willful misconduct, or other conduct for which applicable law prohibits limitation.
Any additional negotiated liability provisions in an applicable Business or Enterprise agreement will control to the extent expressly stated.
17.4 Allocation of Risk
The parties acknowledge that the limitations in this Section form part of the allocation of risk reflected in the Services and their pricing.
18. Indemnification
18.1 User Indemnification
To the extent permitted by applicable law, Business and organizational customers agree to defend, indemnify, and hold harmless FullStak and its affiliates, officers, employees, and agents against third-party claims, damages, liabilities, and reasonable legal expenses arising from:
(a) Customer Content that infringes another party's intellectual property rights;
(b) The customer's unlawful use of the Services;
(c) The customer's material violation of these Terms;
(d) Unauthorized communications, recordings, or automated outreach initiated by the customer; or
(e) Applications or services developed, deployed, or operated by the customer in violation of applicable law.
This obligation applies only to the extent the claim results from matters within the customer's responsibility or control.
18.2 Indemnification Procedure
The indemnified party will provide reasonably prompt notice of a covered claim, subject to any prejudice caused by delayed notice.
The indemnifying party may control the defense using qualified counsel, provided that no settlement imposing nonmonetary obligations, admissions, or liability on the indemnified party may be entered without its consent.
18.3 FullStak Responsibility
Nothing in this Section relieves FullStak of liability for its own misconduct, contractual obligations, or responsibilities imposed by applicable law.
19. Intellectual Property and Feedback
19.1 FullStak Intellectual Property
FullStak and its licensors retain ownership of the Services, software, interfaces, designs, trademarks, documentation, proprietary systems, and related intellectual property, excluding Customer Content and third-party materials.
19.2 Customer Content
Users retain their rights in Customer Content.
FullStak receives only the limited rights reasonably necessary to host, process, transmit, protect, display, and provide the Services as authorized by the customer and these Terms.
19.3 AI-Generated Content
As between FullStak and the user, and to the extent permitted by applicable law, the user may use AI-generated output produced through the Services, subject to applicable third-party rights and provider-specific restrictions.
FullStak does not guarantee that AI-generated output qualifies for copyright protection or is unique.
19.4 Open-Source Software
Certain FullStak components or customer-generated projects may include open-source software.
Applicable open-source licenses govern those components to the extent required by their terms.
19.5 Feedback
Users may voluntarily provide suggestions, ideas, bug reports, or feedback.
FullStak may use feedback to improve its products without compensation, provided that doing so does not transfer ownership of confidential Customer Content or override applicable confidentiality obligations.
20. Third-Party Services and Integrations
20.1 Third-Party Providers
FullStak may integrate with third-party services, including payment processors, cloud providers, AI model providers, communications carriers, application repositories, and identity providers.
These services may be governed by separate terms and privacy policies.
20.2 Customer-Authorized Connections
When a user connects an external account, FullStak may access and process information within the permissions granted through the applicable integration.
Users are responsible for maintaining the authorization required to connect their external accounts.
20.3 Availability and Changes
Third-party providers may modify, restrict, suspend, or discontinue their services.
FullStak is not responsible for third-party acts or omissions outside its reasonable control, subject to FullStak's own contractual and legal obligations.
20.4 External Content
Links, integrations, and third-party content do not necessarily constitute endorsement by FullStak.
Users should review the applicable provider's terms before relying on external services.
21. Telecommunications, Messaging, and Phone Services
21.1 Communications Services
FullStak may provide telephone, VoIP, messaging, call-screening, AI receptionist, and related communications capabilities, including FullStak Voice and PhoneFilter.
Availability and features may depend on carriers, geographic location, numbering resources, third-party providers, and applicable regulations.
21.2 Emergency Services
Unless expressly identified as supporting emergency calling under an applicable service agreement, FullStak communications features must not be relied upon as a replacement for traditional emergency calling services.
Any supported emergency calling capabilities, limitations, address-registration requirements, and service dependencies must be separately disclosed.
21.3 Call Recording and Consent
Users are responsible for obtaining all legally required notices and consents before recording, monitoring, transcribing, or analyzing communications.
FullStak may provide recording indicators or consent tools, but those features do not replace the user's obligation to comply with applicable law.
21.4 Automated Calls and Messaging
Users must comply with applicable laws and regulations governing automated calls, SMS, telemarketing, consent, opt-out requests, identification, and prohibited communications.
Users may not use FullStak to conduct unlawful robocalling, spam campaigns, caller-ID spoofing, or fraudulent communications.
21.5 Phone Numbers and Portability
Telephone numbers are subject to applicable numbering rules, carrier requirements, availability, and portability procedures.
Assignment of a telephone number does not necessarily confer ownership of the number independent of applicable law.
21.6 Service Limitations
Communications services may be interrupted by internet outages, power failures, carrier disruptions, device limitations, or other dependencies.
Additional PhoneFilter and FullStak Voice terms may govern call forwarding, screening, usage allowances, recordings, billing, and service eligibility.
22. Privacy, Security, and Data Protection
22.1 Privacy Policy
FullStak's collection, use, disclosure, and retention of personal information are described in its Privacy Policy.
22.2 Security Measures
FullStak will maintain reasonable administrative, technical, and organizational safeguards appropriate to the nature of the Services and information processed.
22.3 Account Security
Users are responsible for maintaining the confidentiality of their authentication credentials and promptly reporting suspected unauthorized account access.
22.4 Personal and Organization Data Separation
FullStak Personal workspaces are intended to remain private to their authorized users.
Membership in a Business or Professional organization does not, by itself, authorize an organization administrator to access a user's separate Personal workspace.
Any transfer of Personal data into an organization-controlled workspace must occur through an authorized process with appropriate disclosure and permissions.
22.5 Security Incidents
FullStak will respond to security incidents in accordance with applicable law, its contractual commitments, and its incident-response procedures.
Required notices will be provided within applicable legal or contractual timeframes.
22.6 Business Data Processing
Where required, processing of personal data on behalf of Business or Enterprise customers may be governed by a separate Data Processing Agreement.
23. Dispute Resolution and Governing Law
23.1 Informal Resolution
Before initiating formal legal proceedings, users and FullStak agree to make a good-faith effort to resolve disputes informally.
A party may submit written notice describing the dispute and requested resolution.
The parties will have thirty days after receipt of notice to attempt resolution, unless applicable law requires otherwise or urgent legal relief is necessary.
23.2 Governing Law
These Terms are governed by the laws of [Governing State], without regard to conflict-of-law principles, except where mandatory consumer protection laws require otherwise.
23.3 Courts and Venue
Subject to applicable law and any separately agreed dispute-resolution provisions, disputes will be resolved in the competent state or federal courts located in [Approved Jurisdiction].
23.4 Arbitration
[Counsel decision required: Whether to adopt binding individual arbitration, identify the administrator and rules, provide applicable opt-out procedures, address small-claims exceptions, and determine the enforceability and treatment of class-action waivers.]
No mandatory arbitration provision is established by these Terms.
23.5 Consumer Protections
Nothing in this Section deprives consumers of rights or remedies that cannot be waived under applicable law.
24. Changes to These Terms
24.1 Updates
FullStak may update these Terms to reflect changes in its Services, legal requirements, security practices, or business operations.
24.2 Material Changes
When changes materially affect users' rights or obligations, FullStak will provide reasonable advance notice where required by law or contract.
24.3 Acceptance of Updated Terms
Where legally required, FullStak will obtain affirmative acceptance of updated Terms.
Continued use after the effective date may constitute acceptance where permitted by applicable law and after appropriate notice.
24.4 Prior Versions
FullStak may retain previous versions of these Terms for legal, operational, and customer-reference purposes.
25. General Legal Provisions
25.1 Entire Agreement
These Terms, together with applicable product-specific terms, policies, order forms, and written agreements, constitute the agreement governing use of the Services.
25.2 Order of Precedence
If these Terms conflict with a separately executed Business or Enterprise agreement, the executed agreement controls to the extent of the conflict, unless expressly stated otherwise.
25.3 Severability
If any provision is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
25.4 No Waiver
Failure to enforce a provision does not constitute a waiver of the right to enforce it later.
25.5 Assignment
Users may not assign their rights or obligations under these Terms without FullStak's prior written consent, except where prohibited by applicable law.
FullStak may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets, subject to applicable law and contractual restrictions.
25.6 Force Majeure
Neither party will be liable for delays or failures caused by events beyond its reasonable control, except for obligations that cannot lawfully be excused.
25.7 Relationship of the Parties
The parties are independent contracting parties. These Terms do not create a partnership, employment, fiduciary, franchise, or joint-venture relationship.
25.8 Electronic Communications
Users consent to receive legally permitted electronic communications relating to their accounts, transactions, security, and the Services, subject to applicable notice and consent requirements.
25.9 Language
The controlling language of these Terms is English unless a separate agreement or applicable law provides otherwise.
